By accessing or using the PackAndList platform, including our website (packandlist.com), web dashboard (platform.packandlist.com), mobile applications, and services provided by our Operators (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms apply to all users, including customers, Operators, and visitors to our website.

2. Description of Services

PackAndList provides a logistics and automation platform that digitizes physical inventory. Our Services include:

  • Inventory Digitization: Professional photography, item identification, and cataloging of your physical items using AI-powered technology.
  • Packing Services: Professional packing and labeling of items with QR codes for tracking and identification.
  • Platform Access: Web-based dashboard to view, manage, edit, export, and integrate your digitized inventory with third-party marketplaces (e.g., eBay, Etsy, Amazon).
  • AI-Powered Research: Automated item identification, pricing research, and SEO-optimized description generation.
  • Operator Network: Connection to independent contractor Operators who provide on-site digitization and packing services.

3. User Accounts and Responsibilities

Account Creation: To use certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Maintain the security of your account credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

Age Requirement: You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years of age.

Account Termination: We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason we deem necessary to protect our Services or other users.

4. Service Calls and Bookings

Booking Process: When you book a service call through our platform:

  • You agree to provide accurate location, date, time, and item details.
  • Bookings are subject to Operator availability and acceptance.
  • Operators are independent contractors and may accept or reject service calls at their discretion.
  • We facilitate the connection between you and Operators but are not a party to the service relationship.

Cancellation and Rescheduling:

  • You may cancel or reschedule service calls subject to our cancellation policy, which may include fees.
  • Operators may cancel or reschedule service calls with reasonable notice.
  • We are not liable for Operator cancellations, though we will work to find alternative arrangements when possible.

Service Location: You are responsible for ensuring Operators have safe and legal access to the service location. You must be present or have an authorized representative present during the service call, unless otherwise agreed upon.

5. Operator Services and Responsibilities

Independent Contractors: Operators are independent contractors, not employees or agents of PackAndList. Operators are responsible for:

  • Providing their own equipment, transportation, and insurance.
  • Complying with all applicable laws, regulations, and professional standards.
  • Maintaining appropriate licenses and permits required for their services.
  • Delivering services in a professional and timely manner.

Quality Standards: While we facilitate connections with Operators, we do not guarantee the quality, accuracy, or completeness of Operator services. You acknowledge that:

  • AI-generated item identifications, descriptions, and pricing suggestions are estimates and may contain errors.
  • Photography quality may vary based on Operator skill and equipment.
  • You are responsible for reviewing and verifying all digitized inventory data before using it for sales or other purposes.

6. Payment Terms

Fees: You agree to pay all fees associated with the Services as described in our pricing information. Fees may include:

  • Service call fees (per visit or per item, as applicable).
  • Platform subscription or usage fees.
  • Additional fees for premium features or expedited services.

Payment Processing: Payments are processed through secure third-party payment processors. You agree to provide valid payment information and authorize us to charge your payment method for all fees.

Refunds: Refund policies are determined on a case-by-case basis. Generally, fees for completed services are non-refundable, except as required by law or as explicitly stated in our refund policy.

Late Payments: If payment is not received by the due date, we may suspend or terminate your access to the Services. You are responsible for any collection costs or fees associated with late payments.

7. Prohibited Items and Uses

You agree not to use our Services to digitize, pack, or list items that are:

  • Illegal to possess, sell, or transport under applicable local, state, or federal laws.
  • Prohibited by marketplace policies (e.g., weapons, hazardous materials, controlled substances, stolen goods).
  • Counterfeit, pirated, or infringing on intellectual property rights.
  • Harmful, dangerous, or pose a safety risk to Operators or others.
  • Obscene, defamatory, or otherwise objectionable.

You also agree not to:

  • Use the Services for any illegal or unauthorized purpose.
  • Interfere with or disrupt the Services or servers connected to the Services.
  • Attempt to gain unauthorized access to any portion of the Services.
  • Use automated systems (bots, scrapers) to access the Services without permission.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to refuse service, remove content, or terminate accounts that violate these prohibitions.

8. Intellectual Property

Your Content: You retain ownership of your physical items. However, by using our Services, you grant PackAndList a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display any content you upload or allow Operators to capture (including photos, videos, text, and metadata) in connection with operating, providing, and promoting the Services, including for AI training and algorithm improvement purposes.

Our Intellectual Property: The Services, including all software, technology, designs, text, graphics, logos, and other content, are owned by PackAndList or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

9. Third-Party Integrations

Our Services may allow you to export or integrate your inventory data with third-party platforms (e.g., eBay, Etsy, Amazon). You acknowledge that:

  • Third-party integrations are subject to the terms and policies of those platforms.
  • We are not responsible for the accuracy, completeness, or success of listings on third-party platforms.
  • You are responsible for complying with all third-party platform policies and requirements.
  • We do not guarantee that exported data will meet all requirements of third-party platforms.
  • We are not liable for any issues, losses, or disputes arising from your use of third-party integrations.

10. Disclaimers and Limitations of Liability

Service Availability: We strive to provide reliable Services but do not guarantee that the Services will be available, uninterrupted, secure, or error-free. The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

AI-Generated Content: AI-generated item identifications, descriptions, pricing suggestions, and other automated content are provided for informational purposes only. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You are responsible for verifying all information before using it for sales or other purposes.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACKANDLIST AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

Total Liability: Our total liability to you for any claims arising from or related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Operator Liability: PackAndList is not responsible for the actions, errors, omissions, or conduct of Operators. Any disputes between you and an Operator should be resolved directly with the Operator. We may, but are not obligated to, assist in resolving disputes.

11. Indemnification

You agree to indemnify, defend, and hold harmless PackAndList and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party rights, (d) your violation of any applicable laws or regulations, or (e) any content you submit, post, or transmit through the Services.

12. Termination

Termination by You: You may terminate your account at any time by contacting us or using account deletion features in the platform.

Termination by Us: We may suspend or terminate your access to the Services immediately, without prior notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary.

Effect of Termination: Upon termination, your right to use the Services will immediately cease. We may delete your account and data, subject to our data retention policies as described in our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification.

13. Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PackAndList operates, without regard to its conflict of law provisions.

Informal Resolution: Before filing a formal claim, you agree to contact us at support@packandlist.com to attempt to resolve the dispute informally.

Binding Arbitration: If informal resolution is unsuccessful, you agree that any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration organization, except where prohibited by law. You waive your right to a jury trial and to participate in class action lawsuits.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and terminate your account.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PackAndList regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or failures of third-party services.
